The exact services provided for a particular project will depend on the agreed requirements, scope, features, and deliverables.
3. Project Scope and Requirements
Before development begins, project requirements should be clearly communicated and agreed upon. This may include the required features, design requirements, integrations, technical requirements, deadlines, and deliverables.
Work that is outside the originally agreed scope may require additional time or charges. Any significant changes or additional functionality may be discussed and agreed upon before the additional work is performed.
4. Client Responsibilities
Clients are responsible for providing accurate information, required content, credentials, access, files, API documentation, and other materials necessary to complete the project.
Clients should ensure that they have the legal right to provide any content, images, software, data, trademarks, or other materials supplied to CodeFusion Online.
Delays in providing required information or access may affect the estimated project timeline.
5. Payments and Fees
Project pricing depends on the scope, complexity, technical requirements, and services involved.
Where a project requires an advance payment, milestone payment, or subscription/payment plan, the applicable payment terms will be communicated before the relevant work begins.
Additional work outside the agreed project scope may be charged separately after the additional requirements have been discussed.
6. Changes and Additional Work
Reasonable changes related to the agreed project scope may be handled as part of the development process. Requests that introduce new features, major design changes, new integrations, or substantial technical work may be treated as additional work.
We will make reasonable efforts to communicate the impact of significant changes on project cost or delivery time before proceeding.
7. Third-Party Services and Platforms
Websites and applications may depend on third-party platforms, services, hosting providers, APIs, payment providers, plugins, libraries, app stores, or other external services.
CodeFusion Online does not control the availability, pricing, policies, functionality, or future changes of third-party services.
Changes, outages, restrictions, API changes, account limitations, or policy changes made by third-party providers may affect the operation of a website or application.
8. Website, Software and App Delivery
Development work will be delivered according to the agreed project scope and requirements.
Delivery timelines are estimates and may depend on factors including project complexity, client feedback, availability of required access, third-party services, testing requirements, and changes to the project scope.
After delivery, clients are responsible for maintaining their hosting, domains, third-party accounts, subscriptions, licenses, and other external services unless ongoing maintenance has been separately agreed.
9. Intellectual Property
CodeFusion Online retains ownership of its own reusable development tools, frameworks, libraries, techniques, templates, processes, and pre-existing materials unless otherwise agreed in writing.
Client-provided content, trademarks, data, images, and other materials remain the property of their respective owners.
Ownership or usage rights for custom project deliverables will depend on the agreed project terms and applicable payment conditions.
Third-party software, open-source packages, plugins, libraries, themes, and services remain subject to their respective licenses and terms.
10. Confidentiality
We will make reasonable efforts to keep confidential business, technical, and project information shared with us for the purpose of providing services.
Confidentiality does not apply to information that is publicly available, independently developed, lawfully obtained from another source, or required to be disclosed by law.
11. Security and Access
Clients should provide only the access necessary for completing the agreed work and should maintain appropriate backups of important data.
When working on an existing website, application, database, or server, we may recommend creating backups before making significant changes.
We are not responsible for problems caused by unauthorized access, compromised credentials, third-party modifications, hosting failures, or changes made by parties outside our control.
12. Warranties and Service Limitations
We aim to provide services with reasonable care and technical competence. However, we cannot guarantee that every website, application, integration, API, or third-party service will operate continuously or without interruption.
Technical results may depend on hosting infrastructure, browsers, operating systems, third-party APIs, plugins, themes, external services, network conditions, and other factors outside our control.
Unless specifically agreed in writing, we do not guarantee a particular search-engine ranking, advertising approval, PageSpeed score, traffic level, sales result, or business outcome.
13. Limitation of Liability
To the extent permitted by applicable law, CodeFusion Online will not be responsible for indirect, incidental, special, or consequential losses arising from the use of our website or services.
This may include loss of revenue, profits, business opportunities, data, or service availability resulting from circumstances outside our reasonable control.
Nothing in these terms is intended to exclude or limit liability where such exclusion or limitation is not permitted by applicable law.
14. Cancellation and Termination
Either party may request to end a project or service subject to the applicable project agreement and payment terms.
CodeFusion Online may suspend or terminate access to services where there is a serious breach of these terms, fraudulent activity, unlawful use, abusive behavior, non-payment, or a security risk.
Any applicable refund or cancellation arrangement will depend on the specific service, work already completed, and agreed payment terms.
15. Prohibited Use
You must not use our website or services for unlawful activities, fraudulent activities, unauthorized access, distribution of malicious software, infringement of intellectual property rights, or activities that may harm our systems, services, users, or third parties.
